Thank you for visiting Metafores Online. These terms of use, together with the personal data protection policy, govern the use of the website and the services provided to visitors, users and registered members, whether natural or legal persons.

By accessing, visiting, registering with or using Metafores Online, you accept these terms as material and binding. If you do not agree, you must not use the services or content of the website.

1. General terms of use

Metafores Online is owned by All World Services Ltd, with ID number 202686639 and registered address in Bulgaria, Krusha 3 str., 2850 Petrich. The website operates as a platform where users looking for a transport company for the transport of items meet transport companies or carriers who submit offers.

2. Definitions

Platform or Metafores Online: the website, services, tools and features provided through Metafores Online for posting transport requests, submitting offers and facilitating communication between users and carriers.

Registered member or member: any natural or legal person who has registered and obtained an access account with Metafores Online. The member is responsible for protecting their login details and for the way they use the website.

User: a member who posts on Metafores Online the list of items they wish to transport.

Transport company or carrier: a member who provides transport services and may, through the platform, submit offers to users who have posted a transport request.

Visitor: a natural person who visits pages of Metafores Online that can be accessed without signing in to an account.

Login details: the personal details that allow the member to access the services. Login details are personal, may not be transferred and may not be disclosed to third parties.

Transport: the transport of items posted by the user and for which carriers submit offers.

Registration: the creation of an account with Metafores Online. Acceptance of a registration is at the exclusive discretion of the platform.

Fee: the amount owed to Metafores Online by the carrier for the services of the platform, when the carrier's offer is accepted by the user and the relevant transport agreement is formed.

Cancellation or withdrawal: the right of a carrier or user to cancel or withdraw from the contract, where this is permitted under these terms and applicable law.

3. Responsibility of members and visitors

The registered member or visitor assumes responsibility for any damage caused by improper, unfair, contractual or illegal use of the services. In particular, the member is responsible for protecting the confidentiality of their login details.

Use of the login details is presumed to be made by the member themselves or, in the case of a legal person, by its legal representative or by persons who have been lawfully declared.

Carriers are not permitted:

• to make fictitious offers or to use associates or employees for fictitious competing offers,
• to mislead users regarding the services they provide,
• to refuse payment of the fee when their offer has been accepted,
• to attempt to contact the user directly or disclose direct contact details before this is allowed by the platform process,
• to cancel accepted offers without justified reason,
• to use the website in a way that is directly or indirectly competitive with or harmful to Metafores Online.

The administrators of Metafores Online reserve the right to decide whether a carrier may maintain an active account on the platform.

4. Use of Metafores Online

Use of the website and services is not permitted by persons under 18 years of age, by persons without legal capacity, or by members whose access has been revoked.

When using Metafores Online, it is not permitted:

• to publish or send content in inappropriate categories,
• to violate laws, intellectual property rights, trademarks or other rights of third parties,
• to post, request or accept the transport of items prohibited by law,
• to fail to pay an agreed fee without lawful or justified reason,
• to interfere with other users' listings,
• to bypass or manipulate the pricing structure, billing process or amounts owed to Metafores Online,
• to publish false, inaccurate, misleading, defamatory or libellous content,
• to undermine comment or rating systems,
• to transfer an account without prior consent,
• to send unsolicited, bulk or misleading communications,
• to distribute viruses or technologies that may harm the platform or its users,
• to copy, modify or distribute content, rights or trade names of the platform,
• to collect user information, including email addresses, without consent.

If you register as a legal person, you declare that you have authority to legally bind that legal person. If you transact commercially through the platform, you must comply with all applicable laws.

Metafores Online is not a party to contracts between users and carriers. International transports may involve taxes, charges or customs duties, for which the user or the contracting party, as applicable, is responsible.

5. Misuse

Metafores Online makes every effort to ensure the proper operation and security of the platform. Please report problems, offensive content or policy violations to us.

Without limiting other measures, we may send warnings, restrict, suspend or terminate services and accounts, restrict or prohibit access and delay or remove content. We may also take technical or legal measures if:

• we believe that you are creating problems or exposing us or another user to financial loss or legal liability,
• you do not act in accordance with the letter or spirit of the terms,
• despite our reasonable efforts, we cannot verify information you provided to us,
• you repeatedly receive negative ratings or comments.

We reserve the right to cancel unverified or inactive accounts and to modify or discontinue operation of the website.

6. No spam

We do not tolerate annoying or unsolicited commercial communications. You may not add other users to mailing lists without their consent or use communication tools to violate the terms.

We may review and filter email messages and system messages for spam, viruses, phishing attacks or other illegal or prohibited content.

7. Use of other users' details

The services may allow members to share personal details in the context of a transaction. We cannot guarantee that other members will respect the privacy or security of your details, so we recommend caution and assessment of your counterparties' policies.

You agree to use members' details only in accordance with applicable laws and only for platform transaction purposes, for use of Metafores Online services, or for other purposes to which the members have expressly consented.

8. Fees

8.1 Cost of use

Use of Metafores Online is free for users. The carrier owes a fee to Metafores Online when a transport contract is formed through the mediation or referral of the platform. The contract is considered formed when the user accepts the carrier's offer and pays the deposit, where such deposit is provided for.

8.2 Fee calculation

The fee of Metafores Online is calculated according to the amount of the carrier's offer.

For amounts above €200.00, the fee is set at 10% to 20% of the amount of the accepted offer. The above fees are stated excluding VAT. The obligation to pay the agreed commission to the Platform arises from the moment the customer expressly accepts the carrier's offer through the system. The carrier must pay the amount within ten (10) calendar days.

Late, incomplete or non-payment of the owed commissions within the specified ten (10) day period constitutes good cause and gives the Platform the right to immediately suspend, temporarily or permanently, the operation of the carrier's account and terminate their cooperation, without prior notice and without any obligation to pay compensation.

8.3 Discounts and fee changes

Metafores Online may, at its discretion, provide discounts or temporarily change fees for promotional reasons or for new services. Unless otherwise specified, all fees are stated in euros.

8.4 Waivers and refunds

Cancellation of the contract by the carrier does not automatically release the carrier from the obligation to pay the fee. A refund may be considered only in the case of proven, justified cancellation for reasons not attributable to the fault of a contracting party, at the exclusive discretion of Metafores Online.

8.5 VAT and payment

Payment of VAT connected with the platform fee is borne by the carrier, where applicable. Payment of the fee is made through the available payment methods communicated by Metafores Online.

In the case of bank deposit, the depositor's full name or company name must be stated and, where available, a relevant identifier of the transaction or accepted offer. Any additional costs, such as bank fees or other payment charges, are borne exclusively by the carrier.

9. Ratings

Metafores Online provides the possibility of mutual rating after completion of a transport. Ratings help members form an impression of the reliability and skills of other members.

The rating is made with a score and a short comment. Use of ratings outside Metafores Online is not permitted. Ratings must be made with respect and common sense, without libellous, defamatory, misleading or illegal content and without personal details or advertisements.

10. Content

When you provide content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, free and transferable right to use, reproduce, publish and make available the content in the context of operating the platform, to the maximum extent permitted by law.

11. Intellectual and industrial property rights

The content of Metafores Online, including images, graphics, photographs, designs, texts, services and files, is protected by intellectual and industrial property law, unless otherwise stated.

Printing or storing extracts is permitted only for personal, non-public and non-commercial use, with attribution of origin and without alteration of the relevant rights. Sale, copying, modification, reproduction, republication, uploading, transmission or distribution of content without permission is not permitted.

Any trademarks, products or services of third parties belong to their respective owners.

12. Liability

We are not liable for acts or omissions of third parties that are not connected with the operation of the website. The platform enables the search for and submission of transport offers, but agreements are concluded and performed exclusively between users and carriers.

We do not control and do not guarantee the truth, accuracy or legality of listings, offers, comments, information, transports or transported items, nor the quality of carriers' services. Each member is solely responsible for their listings, statements and actions.

Although we take reasonable measures for the proper operation of the website, we do not guarantee continuous, uninterrupted or secure access. We are not liable for damage, financial or otherwise, caused directly or indirectly by the use of or inability to use the services.

13. Cancellation and withdrawal

If you act as a consumer, you may have a right of withdrawal under the law, to the extent that it applies to the specific transport service. This right must be exercised against the carrier as your contracting party.

If a contract is cancelled by a user or carrier for justified reason, a refund of the carrier's fee may be considered. Anyone requesting cancellation must set out the reasons that make performance of the contract impossible, so that it can be assessed whether the cancellation is justified or whether the terms of the agreement can be changed.

If the cancellation is considered justified or the rejection of new terms by the other party is considered unjustified, the transport proposal may be posted again. If the cancellation is considered unjustified or the rejection of new terms justified, the proposal may be permanently withdrawn.

Metafores Online reserves the right to temporarily or permanently prohibit entry and use by those who systematically enter into and cancel contracts for unfair purposes or to avoid a lawful and agreed fee.

14. Privacy policy

Metafores Online allows members and users to disclose personal details only if they wish and only for the purposes of concluding or performing an agreement. For details that the member does not wish to disclose, we take reasonable technical and organisational protection measures, but we do not guarantee that details disclosed to other members will remain confidential from them.

The use, collection and storage of members' details in violation of the law is prohibited. It is permitted only for purposes of using the website and forming contracts pursued through it.

The contact addresses of the website or other members may not be used for bulk or annoying mail. In the event of repeated annoyance, measures may be taken.

If a member or user requests deletion of their personal data, the request will be examined and satisfied to the extent that this is feasible and permitted by law, taking into account any lawful data retention obligations. Deletion may restrict or make use of the platform impossible.

Each user is required to declare true, complete and up-to-date details. Transport requests are publicly displayed to visitors of the website, while profile details are not intended for public display.

15. Release and indemnification

If you disagree with one or more terms, you release us from claims, demands and damages of any kind arising from or related to that disagreement.

You agree to use the website and services in accordance with these terms. You will indemnify us for any loss or expense, including reasonable legal costs, that we incur because of your violation of the terms, law or third-party rights.

16. About Metafores Online

The auction service for transports and removals is provided by All World Services Ltd, with ID number 202686639 and registered address in Bulgaria, Krusha 3 str., 2850 Petrich, a private limited liability company incorporated under the laws of Bulgaria.

Metafores Online has its registered office in Bulgaria and may be supported by cooperating companies that provide an internal support role.

17. Notices

Unless otherwise specified, any document concerning Metafores Online is lawfully served at the address declared following contact through the email address info@metaforesonline.gr. Our notices may be sent by email to the address you provided during registration or by registered mail to the declared postal address.

Notices sent by registered mail are deemed received three days after the date of posting.

18. Dispute resolution and governing law

In the event of a dispute between you and Metafores Online, you are advised to contact us directly first. We will reasonably consider requests to resolve the dispute through alternative procedures, such as mediation or arbitration, instead of litigation.

These terms are governed by and interpreted in accordance with the laws of Bulgaria, without prejudice to any mandatory consumer protection rights that apply under the law.

19. General provisions

If any provision of these terms is found invalid or unenforceable, that provision will be deleted and the remaining provisions will continue to apply.

The section headings are for reference only and do not limit the subject matter or scope of each section. Our failure to act in the event of a violation does not waive our right to act in subsequent or similar violations.
